Five Steps To Establish A Taiwan Branch Office
The term "foreign company" as used in the Company Act denotes a company, for the purpose of profit making, organized and incorporated in accordance with the laws of a foreign country. A foreign company, within the limits prescribed by laws and regulations, is entitled with the same legal capacity as a Taiwan company.
A foreign company without making branch office registration may not conduct its business operation in the name of a foreign company in Taiwan.
A foreign company which establishes its branch office in Taiwan shall appropriate funds* exclusively for its operation of business therein and shall designate a representative to serve as its responsible person in Taiwan.
Step 1: Check and reserve the foreign company's Chinese company name and confirm the branch office's scope of business.
A foreign company which establishes its branch office in Taiwan shall translate its name into Chinese and indicate the class(type) to which it belongs as well as its nationality.
Company's Chinese name must not be similar or identical to other companies.
The branch office's scope of business shall be identical to the foreign company, or shall not exceed the foreign company's scope of business. The foreign company's scope of business will be written in the Articles of Incorporation in most of the case.
The agent will help the foreign company to search the online database maintained by the Minister of Economic Affairs (MOEA) to confirm the use the Chinese company name.
Step 2: Obtain the approval/license from the respective governing authorities for conducting the business.
Step 3: Apply for foreign company and branch office registration with the Bureau of Commerce, the Minister of Economic Affairs, the City Government, the Management Office of Science Park, or other designated governing authorities.
Step 4: Apply for the business (tax) registration with the respective office of the National Tax Bureau where the branch office is designated to be located.
Step 5: Complete the registration of the qualification of an importer/exporter business with the Bureau of Trade, Minister of Economic Affairs
* The respective governing authorities will announce the minimum capital requirement for registration of branch office.
